3. User Responsibilities

You agree to:

• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes

4. Service Agreements

Specific services will be governed by separate service agreements that outline:

• Scope of work and deliverables
• Project timelines and milestones
• Pricing and payment terms
• Intellectual property rights
• Warranties and support terms

5. Intellectual Property

Unless otherwise specified in a separate agreement:

• OptiFlow retains ownership of all pre-existing intellectual property
• Custom developments created for clients become the property of the client upon full payment
• OptiFlow may retain rights to use generalized methodologies and frameworks
• Third-party software and tools are subject to their respective licenses

6. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are due within 30 days unless otherwise agreed
• Late payments may incur interest charges
• Services may be suspended for non-payment
• All prices are exclusive of applicable taxes

7. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes but is not limited to:

• Business strategies and processes
• Technical information and source code
• Financial information
• Customer and employee data

8. Warranties and Disclaimers

OptiFlow warrants that services will be performed in a professional manner consistent with industry standards. However:

• Services are provided "as is" without additional warranties
• We do not guarantee specific business outcomes or results
• We are not responsible for third-party services or integrations
• Specific warranties will be detailed in service agreements

9. Limitation of Liability

To the maximum extent permitted by law:

• OptiFlow's liability is limited to the fees paid for the specific service
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for losses due to factors beyond our reasonable control
• Specific limitations may be outlined in service agreements

10. Termination

Either party may terminate services under the following conditions:

• By mutual written agreement
• For material breach of terms (with opportunity to cure)
• For non-payment after reasonable notice
• As specified in individual service agreements

Upon termination, clients remain responsible for payment of services rendered up to the termination date.

11. Indemnification

You agree to indemnify and hold OptiFlow harmless from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Your violation of any third-party rights
• Any content or data you provide

12. Governing Law

These Terms of Service are governed by the laws of Luxembourg. Any disputes shall be resolved through:

• Good faith negotiation between the parties
• Mediation if negotiation fails
• Jurisdiction of Luxembourg courts as a last resort

13. Changes to Terms

OptiFlow reserves the right to modify these Terms of Service at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the modified terms.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms of Service, together with any separate service agreements, constitute the entire agreement between you and OptiFlow regarding the use of our services.
